Here you will find all of the Terms and Conditions for working with Micah Frugia Design on your various creative projects. These terms are legally binding and non-negotiable. They are broken up into sections according to the services that I provide. I'm still working on adding Ad Copy / Copywriting and Business Planning / Process Improvement, but once they are fully launched I'll get T&Cs added for them here as well.

 

I used to have my clients print, sign, and return a contract containing all of these terms, but I found that made getting started on a project less accessible for a handful of reasons (i.e. finding/using a printer and scanner). But the terms and conditions are very important for a number of reasons.

So in my never-ending attempt to improve the processes here at Micah Frugia Design, I decided to compile the terms from said contracts here and require each new client to review those that apply to their specific project before placing a new order.

A FEW REASONS.

As mentioned above, the terms and conditions are important for several reasons. Just in case you're still not convinced, I've compiled the most compelling reasons to commit these terms to memory before placing an order or starting a project. Check them out below.

The terms and conditions let you know what to expect from the process once you place your order and we get started on the project. They also let you know what is expected of you throughout.

FOR ME

Having all my clients familiar with the applicable terms and conditions cuts down on a number of headaches in-house, such as teaching the terms several times a week or having to fire clients.

FOR THE PROJECT

Ensuring that everyone has a full understanding of the Terms & Conditions and how they apply cuts down on order issues, reprints, and additional proofs (saving your money and my time).

FOR REAL

These terms and conditions act as a binding contract for all orders placed at Micah Frugia Design. Failure to read them on your part does not constitute an emergency or change of policy on my part.

Here's a disclaimer just in case it's still not clear. You MUST read this disclaimer before placing your order.

DISCLAIMER  It is the client's responsibility to carefully read and review the terms and conditions that apply to the service they are getting or the order they are placing. Upon placing an order with Micah Frugia Design, you (the client) indicate that you have read and reviewed the terms of service laid out on this page. As such, Micah Frugia Design is unequivocally absolved from responsibility for any costs related to reorders, reprints, or additional proofs that come about as a lack of familiarity with these Terms & Conditions on the part of the client. As laid out in the terms below, these additional costs would fall under the responsibility of the client, and upon placing an order, the client waives any and all rights to contest this responsibility in the practice of business or within a court of law. In the case of an event such as this, necessary payment must be made in full before work on that project or its production will resume. Repeated attempts to bend these rules, avoid payments, or talk down prices will result in termination as a client of Micah Frugia Design. Failure to pay due fees for services rendered may result in a 10% late fee added to the overdue balance and after 40 days any and all delinquent accounts will be sent to collections and terminated from the operating client list. This is non-negotiable and there are no exceptions.

GAME GRAPHICS

Below is a breakdown of the terms & conditions relating to game graphics orders at Micah Frugia Design. Most of these have come about as a result of necessity; either to improve efficiency, protect the studio, or manage client expectations. Please read and familiarize yourself with all of the terms and conditions in this section before placing a design order.

THE ART PROCESS

In order to provide high-quality and professional game graphics to our clients at an affordable rate, and to ensure that we're utilizing the latest and most efficient tools and methods at our disposal, we've chosen to utilize Midjourney for our Game Graphics services. This does not mean you will receive the final art with obvious AI errors. While concepts are meant to be rough drafts, we will utilize photo editing software and quality control to ensure your final art will be polished, professional, and print-ready. You can see notes about concepts vs final art at the bottom of the Game Services page if you need more clarity on which service is appropriate for you at this time.

INITIAL CONCEPTS

Initial concepts are rough-draft tiles that can be used for brainstorming, ideating, placeholding, or focus testing during the earlier stages of a game design project. They aren't perfect because they aren't meant to be. They are supposed to help you capture the essence of your character, creature, scenery, or architectural landmark through a mix of free expression and trial-and-error. You can find more notes on this at the bottom of the Game Services page.

FINAL ART

Finalized Art is a totally different story. Yes, we do utilize Midjourney to generate our game graphics concepts and even the initial draft of the final art lockup. However, we utilize the full gamete of Adobe Creative Suites' image editing capabilities to ensure customer satisfaction and quality control on every piece of finalized art. 

DESIGN BRIEFING

The design brief ensures that I have a full understanding of your goals and desires for the project from start to finish. We can do this over email, or on the phone. You can also schedule a free one-hour Zoom chat if you think that would be better. Once the brief is complete and I have received payment your order will be added to the design schedule and you can expect your first proof within 3-5 business days (unless otherwise discussed during the design brief).

PROOFING PROCESS

All design orders come with three rounds of proofing and adjustments to ensure client satisfaction and quality control. This will be handled through email. You MUST approve all three proofs to move on to production or receive your deliverables, so keep an eye on your inbox to keep things moving along according to schedule. You can purchase additional rounds of proofs, but I've never needed more than three to reach client satisfaction on a project. If the project is super simple or you're in a hurry, you may waive your proofs and avoid the proofing process altogether, but there is no discount for this and I advise against it unless the order is so straight-forward that there's minimal chance of error the first time around. Such as simple black text on a white background or anything that we have a template for on file that we've adjusted and produced a thousand times over. The proofing process will be waived for concepts due to the nature of the service.

PROOF APPROVAL

Approval of each proof constitutes admittance on behalf of the client that they've carefully reviewed and approved the proof to move ahead to the next step in the process (whether that be the next proof, deliverables, or production). Any additional reprints or proofs after the third and final approval has been given will be billed to the client accordingly. This is non-negotiable. If you have any notes or edits (which is common for the first and even second rounds of proofing), simply reply to your proof email with them and I'll work them into your next proof.

GAME DESIGN

Micah Frugia Design does offer game design options for Board Games, Card Games, and RPG gaming systems. In the event that your art will be integrated into a game design order, you must provide approval of the final proof to ensure that your order has been sent through to design. See the section marked Design & Branding for more on those terms and conditions.

DELIVERABLES

Deliverables will come to you through email, just like your Proofs did, only with a different subject line. They will take the form of PDF files unless otherwise specified in the design brief or proofing emails. PDF files are the industry standard because they are high-quality, scalable, compatible with most systems, and easy to send and receive. I can send your deliverables in any extension that you need, so if you have special requirements just let me know. Another popular form of deliverable is Websafe PNGs for use on websites or social media.

USE RIGHTS

You will have full rights to use your deliverables in commercial or personal projects both on the web and in print without attribution* (see the next section) although it is encouraged and appreciated whenever appropriate. You will not; however, be provided with the source documents or have the rights to make edits to the designs provided at any time.

If you need changes or updates over time then get in touch and we'll work it out. But bastardization of my designs by the client or other designers they may be working with is unacceptable and will be dealt with swiftly and efficiently. This is non-negotiable. Offenders will be issued a cease and desist and legal action will eventually be taken if necessary.

MIDJOURNEY'S SPLIT-RIGHTS

Unlike standard design orders, there is a small catch with graphics generated using Midjourney. They have half-rights to all graphics generated utilizing their software. This just means that they will add the image to their image banks to help train the Ai and provide fodder for the system.

PACKAGING CREDIT

As mentioned above, you have the right to use your deliverables in any commercial or personal projects without crediting Micah Frugia Design. The only exception to this policy is when ordering the design or production of packaging for projects such as board or card games. In this instance, a clearly visible design/art/or production credit is required on at least one surface of the packaging; excluding the bottom unless other important info and on-brand design elements are displayed there as well.

MY RIGHTS

As the designer, I retain the rights to use any of the deliverables that I've created for you in the following capacities: in my portfolio or on my website to share my work, for marketing purposes in print or on the web in the form of product hero and example images or any other on-brand imagery we might need relating to the content of the media in question. I will never use your work in projects or designs for other clients. This is non-negotiable.

TIMELINE

As mentioned above, you can expect your first proof 3-5 business days after payment is received and the briefing is complete unless otherwise mentioned in the briefing or following emails. During the brief, I will ask you for a hard due date regarding deliverables on your project. I will do everything in my power to ensure that we clear that date within a comfortable window of time. You've read the section regarding the proofing process and you understand the importance of checking your email, carefully reviewing the proofs, and providing your adjustments or approval in a timely manner. As such, we will not be able to provide additional proofs, reprints, or a refund in the event of a delay resulting from a slow and difficult proofing process. In short, those three approvals are your keys to managing the timeline of the project and if they don't come in it will affect the completion date.

CANCELLATION & REFUNDS

Due to the amount of administrative time spent on each and every order and the nature of the design schedule, there are no refunds on design orders. In the event that you would like to "cancel" or halt work on your order, you may do so, but your payment will act as reimbursement for the billable hours lost due to the now nonexistent project as well as for any billable work that may have already been put towards completing the project prior to its cancellation. This is non-negotiable.

PAYMENTS

Payment upon checkout through our online store is the standard at Micah Frugia Design. Paypal does run the checkout system; however, there is an option to checkout as a guest for those who do not use Paypal. Additionally, I've partnered with Paypal to offer clients a payment plan breaking up their total amount into four interest-free payments. Clients also have the option of placing custom design orders in the event that they cannot find what they need in the bank of existing products and services available online. In this case, the customer is provided with a custom quote through email that they must approve to start the project. These special orders are to be paid upon completion, with larger orders being asked to pay a small percentage up-front as a deposit on the order.

DELINQUENT ACCOUNTS

The due date will be negotiated between myself and the client during the brief and then clearly marked on the provided order quote and finalized order form sent through email. Failure to pay due fees for services rendered may result in a 10% late fee added to the overdue balance. after 40 days any and all delinquent accounts will be sent to collections and terminated from the operating client list. Additionally, deliverables and prints will not be sent through to the client until payment is received in full. This is non-negotiable but only applies to custom orders that are to be paid upon completion of the project as all other orders will be placed online and paid for upon checkout.

TERMINATION

Micah Frugia Design reserves the right to terminate clients and end their professional relationship with them as an individual and/or business entity. I really don't like doing this and as such reserve it for only a handful of circumstances, but in my career, I've seen that it is necessary to at least have some form of policy for handling "problem clients." Basically once I've noticed that you have a habit of repeatedly complaining about prices, trying to get work for free, refusing to check your proofs, attempting to make edits to my designs, or engaging in negative or abusive behavior towards me or my staff, I will issue you a verbal warning either on the phone or through email. After that point, you will have three strikes and on the third, you'll be immediately terminated as a client of Micah Frugia Design. If you've been terminated I will send you a notification over email informing you and cease work on any of your open projects on the design schedule. You will receive PDF deliverables for your order exactly as they were when work on the project was halted and all your files will be removed from the Micah Frugia Design server. These open orders will be treated as cancellations, and as such, the payment will act as compensation for the billable hours lost to the now nonexistent project(s) as well as for administrative time handling the termination. In the event that you're terminated and would like to appeal or reverse this down the road, reach out over email and I'll get back to you when I can. I reserve the right to refuse the reversal of any and all terminations. This is non-negotiable.

CUSTOM QUOTES

In the event that you don't see what you need on the design & branding menu, feel free to email me with your inquiry and I will reply within 3-5 business days with a custom design or print quote.

In the event that your order requires production, you must provide approval of the final proof to ensure that your order has been sent through to production. If you don't see the item you need printed or produced on the design/print menu, you can always reach out over email with your inquiry and get a custom production quote. If we don't have in-house capabilities we can go through one of our specialty production vendors to ensure you get exactly what you're looking for. Production does tend to tack anywhere from 5 days to 2 weeks onto the end of a project, so take this into consideration when planning your timeline for the project and placing your order.

PRINT & PRODUCTION

Below is a breakdown of the terms & conditions relating to print orders at Micah Frugia Design. Most of these have come about as a result of necessity; either to improve efficiency, protect the studio, or manage client expectations. Please read and familiarize yourself with all of the terms and conditions in this section before placing a print or production order.

CUSTOM QUOTES

In the event that you don't see what you need on the print menu, feel free to email me with your inquiry and I will reply within 3-5 business days with a custom design or print quote.

PRINT/PROD. PROCESS

Production at Micah Frugia Design occurs in one of three ways: 1) You placed a design order and you also needed production. 2) You've ordered one of the print packs available in the Design & Print shop. 3) Or you've placed a request for a custom production or specialty production, have received and approved your custom quote over email, and have already completed your payment.

PRODUCTION BRIEFING

The brief ensures that I have a full understanding of your goals and desires for the project from start to finish. We can do this over email, or on the phone. You can also schedule a free one-hour Zoom chat if you think that would be better. Once the brief is complete and I have received payment your order will be sent through to production If any design work was required you will have to complete the proofing process first* (see the above section labeled "Proofing" listed within the terms & conditions for design and branding orders).

PROOFING PROCESS

You will receive a digital proof of your order (likely in the form of a mock-up) so that you can see what it will look like as well as double-check it for any errors, mistakes, or last-minute edits that need to be made before sending your order through to production. You MUST approve this proof to move on to production, so keep an eye on your inbox to keep things moving along according to schedule. Proofs may not be waived for print/production orders due to the costly nature of production and reprints. In the event that you do need to make last-minute edits and provide another print file, you will be sent another proof and be required to send approval before your order can be sent to production. That last step may repeat up to three times before the client will incur an additional charge for studio and administrative time but will always include an accompanying proof that will require approval before moving forward.

PRINT-READY

Micah Frugia Design requires that all files moving through to production be print-ready. This means that they are set up in such a way that the production team just has to hit "print" and they are good to go (this is handled in-house for orders that combine design and production). Getting a file print-ready, or "pre-pressing" it, can seem trivial while actually being a little tedious. Don't worry, though, I will cover your requirements for Print-Ready files during your briefing and you're always free to ask for clarification at any time. If files are sent in that are not print-ready, we can either pre-press them for you for an additional cost or we will send a reply email with a request to send print-ready files. In the event that this happens, expect a delay in production and completion of your order proportionate to the delay in file preparation.

PRE-PRESS

As mentioned above, we do offer pre-press services and can make your production files print-ready in the event that you are unable to do so. Pre-press services are listed in the Design & Print shop and can be added to your production order upon checkout or purchased at any time to add this service to an existing order.

As such, we will not be able to provide additional proofs, reprints, or a refund in the event of a delay resulting from a slow and difficult proofing process. In short, proof approvals are your keys to managing the timeline of the project and if they don't come in it will affect the completion date.

CANCELLATION & REFUNDS

Due to the amount of administrative time spent on each and every order and the costly nature of reprints, there are no refunds on print/production orders or specialty production orders. In the event that you would like to "cancel" or halt work on your order, you may do so. However, your payment will act as reimbursement for the billable hours lost due to the now nonexistent project and any billable work that may have already been put towards completing the project prior to its cancellation. This is non-negotiable. In order to halt your order, reach out over email, placing "WORK-HALT" somewhere in the subject line, and let me know that you'd like to suspend work on your order.

PAYMENTS

Payment upon checkout through our online store is the standard at Micah Frugia Design. Paypal does run the checkout system; however, there is an option to checkout as a guest for those who do not use Paypal. Additionally, I've partnered with Paypal to offer clients a payment plan breaking up their total amount into four interest-free payments. Clients also have the option of placing custom print, production, and specialty production orders in the event that they cannot find what they need in the bank of existing products and services available online. In this case, the customer is provided with a custom quote through email that they must approve to start the project. These special orders are to be paid upon completion, with larger orders being asked to pay a small percentage up-front as a deposit on the order.

DELINQUENT ACCOUNTS

The due date will be negotiated between myself and the client during the brief and then clearly marked on the provided order quote and finalized order form sent through email. Failure to pay due fees for services rendered may result in a 10% late fee added to the overdue balance. after 40 days any and all delinquent accounts will be sent to collections and terminated from the operating client list. Additionally, deliverables and prints will not be sent through to the client until payment is received in full. This is non-negotiable but only applies to custom orders that are to be paid upon completion of the project as all other orders will be placed online and paid for upon checkout.

TERMINATION

Micah Frugia Design reserves the right to terminate clients and end their professional relationship with them as an individual and/or business entity. I really don't like doing this and as such reserve it for only a handful of circumstances, but in my career, I've seen that it is necessary to at least have some form of policy for handling "problem clients." Basically, once I've noticed that you have a habit of repeatedly complaining about prices, trying to get work for free, refusing to check your proofs, attempting to make edits to my designs, or engaging in negative or abusive behavior towards me or my staff, I will issue you a verbal warning either on the phone or through email. After that point, you will have three strikes and on the third, you'll be immediately terminated as a client of Micah Frugia Design. If you've been terminated I will send you a notification over email informing you and cease work on any of your open projects on the design schedule. You will receive PDF deliverables for your order exactly as they were when work on the project was halted and all your files will be removed from the Micah Frugia Design server. These open orders will be treated as cancellations, and as such, the payment will act as compensation for the billable hours lost to the now nonexistent project(s) as well as for administrative time handling the termination. In the event that you're terminated and would like to appeal or reverse this down the road, reach out over email and I'll get back to you when I can. I reserve the right to refuse the reversal of any and all terminations. This is non-negotiable.

DISCLAIMER  It is the client's responsibility to carefully read and review the terms and conditions that apply to the service they are getting or the order they are placing. Upon placing an order with Micah Frugia Design, you (the client) indicate that you have read and reviewed the terms of service laid out on this page. As such, Micah Frugia Design is unequivocally absolved from responsibility for any costs related to reorders, reprints, or additional proofs that come about as a lack of familiarity with these Terms & Conditions on the part of the client. As laid out in the terms above, these additional costs would fall under the responsibility of the client, and upon placing an order the client waives any and all rights to contest this responsibility in the practice of business or within a court of law. In the case of an event such as this, necessary payment must be made in full before work on that project or its production will resume. Repeated attempts to bend these rules, avoid payments, or talk down prices will result in termination as a client of Micah Frugia Design. Failure to pay due fees for services rendered may result in a 10% late fee added to the overdue balance and after 40 days any and all delinquent accounts will be sent to collections and terminated from the operating client list. This is non-negotiable and there are no exceptions.
